BYLAWS
ARTICLE I
Objective:
The objective of Catalina 36, Fleet 5, Long
Island Sound is to enhance the enjoyment of ownership of the Catalina
36 both for cruising and racing, to serve as a central information
source, and to help owners of the Catalina 36 compete equally in
class racing.
ARTICLE II
Members and Associate Members:
Membership is open to any owner of a Catalina
36. It may also include his/her spouse and/or partner(s). Associate
membership is open to anyone who is interested in sailing and is
recommended by a member of Fleet 5. It may include his/her spouse
and/or partner(s). Each member and associate member must be current
with his/her Fleet 5 dues to be considered a member in good standing.
ARTICLE III
Officers:
The elected officers of Fleet 5 shall be Captain,
Vice Captain, Secretary, Treasurer, Measurer, Membership Chair and
Newsletter Publisher. Should spouses or partners wish to share the
duties of any office, they may be elected as co-officers and assume
the position of that office. At the time of election the Captain
must be a member of Fleet 5, owning a Catalina. All officers must
be members or associate members in good standing of Fleet 5. The
elected officers shall appoint a Webmaster who has the necessary
skills to mount and maintain the Fleet 5 website. The Webmaster
shall have all the duties and responsibilities of an elected officer.
ARTICLE IV
Officers' Duties:
The Fleet 5 officers are to govern the fleet
as desired by the members and to follow the guidelines of the National
Association. The duties of officers shall be as follows:
A. Captain.
The Captain shall preside over all Fleet 5
business meetings and set the agenda for same. He/she shall act
as spokesperson for the fleet, create temporary special committees
or event chairpersons and call any special meetings as the needs
of the fleet dictate.
B. Vice Captain.
The Vice Captain shall assist the Captain
in planning activities, including arranging programs and/or speakers
for some of our business meetings, preside over meetings in the
absence of the Captain, and prepare to succeed the Captain at the
end of the Captain's term of office, although this succession need
not be a requirement.
C. Secretary.
The Secretary shall keep minutes of all business
meetings and be prepared to report these minutes at the next business
meeting. He/she shall be responsible for all official fleet correspondence
as dictated by the Captain and the needs of the fleet. In the absence
of the Captain and the Vice Captain, the Secretary shall preside
over business meetings.
D. Treasurer.
The Treasurer shall collect the annual dues,
secure and dispense all fleet funds, and keep accurate financial
records of said funds. He/she shall be prepared to report the financial
status of the fleet at all fleet business meetings.
E. Measurer.
The Measurer shall rule on all questions and
challenges relating to the National Association Class Racing Rules
and their interpretation and is responsible for verification of
conformity to the Class Racing Rules of all yachts participating
in racing events. He/she shall represent Fleet 5 and propose amendments
or changes to the National Association Class Racing Rules. He/she
shall be empowered to issue rating certificates to all owners of
Catalina 36s.
F. Membership Chair.
The Membership Chair shall be responsible
for maintaining accurate records of active members and supplying
a current membership roster to the fleet annually or as needed.
He/she shall be responsible for the following up of all leads for
prospective members. He/she shall be responsible for strategies
for the membership development of all active, new and prospective
members.
G. Newsletter Publisher.
The Newsletter Publisher shall be responsible
for timely publication of a fleet newsletter reporting the actions
of the fleet's business and social activities and promoting events.
H. Webmaster.
The Webmaster shall be responsible to update
and maintain the Fleet 5 website to keep it current and interesting.
He/she shall work closely with the Secretary to publish announcements
and newsletters in a timely manner. He/she shall coordinate with
all officers, cruise captains, and committee chairs to facilitate
communication of these specific fleet events to the Fleet and other
interested parties.
ARTICLE V
Election of Officers:
The offices of Captain, Vice Captain, Secretary,
Treasurer, Measurer, Newsletter Publisher and Membership Chair shall
be elected annually by the fleet at the Annual Business Meeting.
New officers shall assume their responsibilities at the end of that
meeting. A Nominating Committee for the election of the following
year's officers' slate shall consist of the present officers, the
active Past Captains and 2 members-at-large selected by the Captain.
ARTICLE VI
Voting:
Approval of amendments to these Bylaws, the
election of officers, the setting of annual dues and any special
assessments or expenditures shall be by a majority vote if a quorum
of 2/3 of the membership is present or represented by mail ballot.
Any other items of business as necessary during business meetings
shall be by a majority vote of members present if a quorum of 40%
of the membership is present. Each member and associate member yacht
in good standing shall have one vote. Associate members in good
standing and not owning a yacht shall have one vote per family/partnership.
ARTICLE VII
Meetings:
Regular business meetings shall be scheduled
in November (Annual Business Meeting), January, March and May (Memorial
Day Rendezvous) with specific dates set according to the convenience
of the fleet. An annual Officers' Meeting shall be held in September.
All present officers, active past Captians and 2 members-at-large
selected by the Captain shall be invited to this meeting. The purpose
of the meeting shall be to preplan the fleet's activities for the
next year, which will be presented at the Fall Business Meeting.
ARTICLE VIII
Order of Business:
Each business meeting shall follow this order
of business:
- Introduction of new members and guests.
- Attendance.
- Minutes of the previous business meeting.
- Officers' reports.
- Old business
o Committee reports.
o Other old business.
- New business.

ARTICLE IX
Class Racing:
In any yacht racing event in
which Fleet 5 is officially involved, the Catalina 36s shall hold
to the Class Championship Rules and Specifications as set forth
in the Catalina 36 National Association Constitution.
